Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the www.minornation.com website (the "Service") operated by Minor Nation ("us", "we", or "our"). 

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service. 

1. Agreement to Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service. 

1. Access and Use of Website

You are required to use the Website in compliance with these Terms and any applicable laws. You must refrain from (or attempting to): 

Interfering or disrupting the Website, its servers, or networks hosting the Website, including any security-related or other features of the Website. 

Utilising any data gathering and extraction tools on the Website. 

Linking to any part of the Website in a manner that damages or exploits Minor Nation's reputation, or causes Minor Nation to suffer Loss, including but not limited to implying or suggesting association and/or affiliation with Minor Nation, or approval and endorsement from Minor Nation when there is none, or in a manner that is illegal or unfair. 

1. Information on Website

You acknowledge and agree that there are intellectual property rights owned by or licensed to Minor Nation, which include rights pertaining to the content of the Website. Any material on the Website, regardless of form (including electronic), must not be reproduced, transmitted, communicated, distributed, or adapted, sold, modified, or used except as permitted by applicable law or with Minor Nation’s explicit consent. 

In instances where material on the Website is provided by third-party merchants, suppliers, and product manufacturers, Minor Nation assumes no liability to you regarding any loss you might suffer or incur as a result of inaccuracies or errors caused by incorrect information supplied to us or by these third parties. 

1. Orders and Agreement Formation

When you place an order on our website, you are making an offer to purchase products subject to these Terms. Our acceptance of your order will take place when we send you an email confirming the order. We reserve the right to refuse or cancel any order for any reason at any time. 

Before you can place orders and access the Website for that purpose, you must register an account with Minor Nation. To register an account, you must:  

• Provide Minor Nation with accurate and current personal information, including your name, address, credit card, or other related payment details, and a valid email address.  
• Be at least 18 years old and have a capacity to enter into a legally binding agreement with Minor Nation 

You must follow the instructions on the Website for making an Order and for making changes to your Order before you submit it. Subject to these Terms, and cases of Error or Obvious Error, despite any previously seen or heard Price, the Price or related charges (such as delivery charges) shown or communicated to you via the Order Confirmation on the Website in respect of any Order is the Price and charges. 

Unless otherwise stated, all payments to Minor Nation are to be made in Australian Dollars. Payment for an Order must be made in full at the time the Order is accepted by Minor Nation, using one of the payment methods disclosed on the Website. 

If you are not entitled to use the selected payment method or account for the Order, or if the payment method or account does not have sufficient funds or credit facilities to cover the Order, the Order may not be processed. 

A binding agreement between you and Minor Nation for the purchase of Products is formed when you receive a shipment confirmation communication from Minor Nation. You agree that Minor Nation is not obligated to supply the Products to you until the Order has been accepted and an Agreement concluded. Minor Nation reserves the right to refuse to accept an Order from you or to process your Order for any reason at its discretion. These reasons may include, but are not limited to: 

• Unavailability of Products that are the subject of an Order. 

• Suspicions by Minor Nation that you might be reselling the Products. 
• Suspicions by Minor Nation that the Order is not genuine and is being used for a purpose other than for your use of the Products that are the subject of the Order. 
• Where Minor Nation considers that the Products cannot be delivered to your nominated delivery address. 

1. Your Account and the Account of Others

You are responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for all activities that occur under your account or password.  

You must maintain the security of your Account password. Minor Nation is not liable for any loss suffered or incurred by you as a result of unauthorised activity on your Account if you fail to keep your Account login information secure. You must not use another person’s Account without express written permission from Minor Nation and/or the other person. 

1. Cancellation and Amendment of Orders

Minor Nation reserves the right to accept or decline any request from you for cancellation or amendment of an Order. If you realise that you have made a mistake with your Order after submitting it to Minor Nation via the Website, you may request the Order be cancelled or amended. However, Minor Nation does not guarantee that it will be able to fulfill such requests. 

If you have placed an Order and Minor Nation is unable to process or accept the Order, you will be notified, and the Order will be cancelled. In such cases, Minor Nation will refund any payment already made by you to your original payment method before the Order has been accepted by Minor Nation. 

1. Product Delivery

Products will be delivered to the location requested and nominated by you in the Order. Minor Nation may engage independent contractors for delivery and charge a delivery fee as specified at the time of placing an Order. 

If delivery to your nominated location is not feasible, Minor Nation will inform you and attempt to arrange alternative delivery options. Please note that Minor Nation does not guarantee firm delivery dates. 

If you grant Minor Nation authority to leave the Products at your nominated delivery address when placing your Order, you agree to permit Minor Nation to leave the Products unattended at the specified location, such as by the front door, reception, lobby, concierge (in the case of an apartment building), or as per your instructions. In such cases, Minor Nation is not obligated to obtain a signature confirming delivery. 

You agree to accept delivery of the Products promptly and at a time reasonably specified by Minor Nation. If you are unable to receive delivery due to absence from the delivery location, Minor Nation may leave a card with instructions for collecting the Products. 

If you unreasonably refuse delivery of the Products or fail to collect them, Minor Nation reserves the right to: 

Charge a reasonable storage fee and other incurred costs. 

Withdraw the Products from availability for delivery or collection and notify you of termination of the Agreement for sale of the Products. 

Unless otherwise specified by you, all title and risk pass to you upon Minor Nation accepting the Order and receiving payment for the Price and all other relevant charges associated with the Order. 

From the moment risk transfers to you, Minor Nation will not be liable for any loss suffered or incurred by you in relation to the Products, except as provided in the Terms. 

You agree to exercise care when opening the Products to avoid damaging them and refrain from using any sharp instruments during the process. 

1. Your Acknowledgement

You warrant, represent to Minor Nation, and acknowledge, that Minor Nation has relied on the following in entering into any Agreement with you: 

All information provided by you in your Account application is complete, accurate, correct, and not misleading. Minor Nation may rely on this information unless and until it receives written notice of any change signed by you. Any such varied information will be covered by this warranty. 

You have full capacity, power, and proper authorisation to enter into obligations and exercise rights pursuant to these Terms. 

During your dealings with Minor Nation, you will be able to meet all commitments and obligations arising from these dealings. 

You will notify Minor Nation immediately of any errors or omissions with respect to your details or Account, in writing. 

You have not relied on any service involving skill and judgment, or on any advice, recommendation, information, or assistance provided by Minor Nation in relation to the Products or their use or application. 

You have not made known, either expressly or by implication, to Minor Nation, any purpose for which you require the Products, and you have the sole responsibility of satisfying yourself that the Products are suitable for your use. 

You agree: 

To provide Minor Nation with accurate, true, and current information about yourself and maintain that information. 

You are responsible for maintaining the confidentiality of your password and Account information and the activities conducted on your Account. 

To notify Minor Nation immediately of any unauthorised use of your password or any breach of security. 

Minor Nation is not responsible for and is not liable to you in respect of any loss suffered or incurred by you regarding the reliability, completeness, or accuracy of any third-party information it provides or makes available to you. 

Minor Nation has the right to correct any trading or administrative errors, including but not limited to reversing or cancelling an Order without your consent and without liability or recourse by you against Minor Nation. 

Any information provided by Minor Nation, including information posted on its website, is indicative and for informational purposes only. Minor Nation does not warrant the accuracy of that information, and you should not make your own inquiries concerning that information. 

1. Your Instructions

All your instructions are subject to law, and these Terms. 

It is your responsibility to ensure that all instructions given to Minor Nation are in accordance with the law, and these Terms. 

If Minor Nation considers it is in its reasonable interest to do so and to the extent permitted by law, it may decline to act in relation to any dealings without explanation or notice where it: 

• believes the transaction would result in no change of beneficial ownership in the products.  

• believes the instructions are ambiguous, incomplete, or unclear; or has suspended or cancelled your Account. 

1. Product Returns

Please refer to our Returns Policy for information on returning products purchased from Minor Nation. 

1. SALES OUTSIDE OF AUSTRALIA AND NEW ZEALAND

You agree: 

the Website and Minor Nation is based in Australia; 

For delivery outside of Australia and New Zealand, Minor Nation will render all invoices and calculate prices/charges to you.  

Dollars; 

the Price and related charges related to the sale of Products by Minor Nation to you, will, for customers located outside of Australia, be subject to the exchange rate applied by the customer's credit or debit card merchant or in the absence of same, by Minor Nation; 

where Products are shipped to your nominated delivery address outside of Australia, there may be Overseas Tax levied by a Government. 

Agency in the country of nominated delivery, and that you will be liable for all such Overseas Tax (even if it is charged to Minor Nation) and 

any other Loss you may suffer or incur related to the charging of Overseas Tax, and: 

Minor Nation is not responsible for, and not liable to you for any Overseas Taxes or other Loss you may suffer or incur related to charging of Overseas Tax. 

Minor Nation is not liable to reimburse you for any Overseas Taxes that may be imposed upon you or any other Loss you may suffer or incur related to charging of Overseas Tax; 

you agree to reimburse Minor Nation for any Overseas Tax that may be imposed upon Minor Nation or any other Loss Minor Nation may suffer or incur related to charging of Overseas Tax; and 

you release Minor Nation from all Claims you had, have or may have in relation to any Overseas Tax that may be imposed upon you or any other Loss you may suffer or incur related to charging of Overseas Tax. 

1. Vouchers, Gift Cards, Online Store Credit. 

Where Minor Nation offers, provides, or sells Vouchers or Gift Cards, you may utilise these as payment for Products on the Website. However, please note the following: 

If Minor Nation emails Vouchers and Gift Cards to you, Minor Nation is not liable for any loss suffered or incurred by you due to: 

• Errors in the email address you provided to Minor Nation. 
• Use of Vouchers or Gift Cards without permission. 
• Theft or illegibility of Vouchers or Gift Cards. 
• In cases of fraud, deception, or other illegal activities associated with the redemption of Vouchers or Gift Cards on the Website, Minor Nation reserves the right to close your Account and/or request an alternate form of payment. 

Vouchers and Promotions: 

• Can only be redeemed on the Website in accordance with the terms stated on them. 
• Are valid for the specified period stated on them only. 
• May exclude various types of Products from Voucher promotions. 
• Cannot be redeemed for cash and are limited to one Voucher per Order. 
• If the value of an Order is less than the value of the Voucher, Minor Nation is not obligated to refund you, and no residual credit will be returned to you. If the credit on a Voucher is insufficient for the Order, you may pay the difference through other means specified in these Terms, but not by using another Voucher or relying on any other promotional offer of Minor Nation. 

In cases where multiple Products are purchased using a Voucher and one or more Products are returned, the discount will be applied on a pro-rata basis to each Product for the purpose of establishing exchange values. 

Gift Cards may be purchased by you for use on the Website by yourself or other customers nominated by you. 

1.  Errors

The Price and related charges quoted by Minor Nation at the time of submission of your Order are indicative only and subject to Minor Nation’s Order Confirmation and acceptance of the Order. Minor Nation reserves the right to correct any errors which may be shown in any Invoice or other Agreement communications or documents, Minor Nation provides to you at any time upon notice to you, including without limitation the Price and related charges, and you must accept the corrections. Minor Nation reserves the right to correct any errors which may be shown in or on the Website at any time upon notice to you, including without limitation the Price and any relevant applicable delivery charges or other related charges, and you must accept these corrections. In case of Obvious Error, Minor Nation may rescind any Agreement with you by notice to you of that rescission. Where Minor Nation elects to rescind any Agreement with you, any further obligations to supply Products by Minor Nation to you or by you to Minor Nation will be at an end and Minor Nation will refund to you any moneys that you have paid to Minor Nation in respect of same.

1. GST

The price payable by you in respect of any Agreement or the Terms, where stated to be exclusive of GST (or where not stated as being GST inclusive), will be treated as GST exclusive. Minor Nation may recover from you the GST payable on any supply connected with any Agreement or these Terms. This GST is an additional obligation, and the amount of GST recoverable is 10% of the GST exclusive price, with the intention that the total consideration payable for any such supplies shall be inclusive of GST. The GST inclusive price or amount shall be the sum of the GST exclusive price or amount plus the GST applicable to the supply. 

If the rate of GST imposed on Minor Nation increases to an amount higher than 10%, the GST recoverable shall be such higher percentage of the GST exclusive price or amount from the date of the increased rate coming into force. The GST may be recovered from you at the same time as payment is due for any applicable supply in accordance with these Terms. 

1. Liability and Non-Excludable Terms

Except to the extent that all or part of this clause contains a Non-Excludable Term which cannot be excluded, restricted, or modified or be applied in such a way as to have the effect of excluding, restricting, or modifying the application of any legislation applicable to the sale of goods or supply of services: 

These Terms and any Agreement do not include, by implication or otherwise, any other term, condition, or warranty in respect of the quality, merchantability, acceptability, fitness for purpose, condition, description, assembly, manufacture, design, or performance of the Products, or any contractual remedy for their failure. Minor Nation disclaims all such conditions and warranties, express or implied. 

Any information provided by Minor Nation, including information posted on its Website, is indicative and for informational purposes only. Minor Nation does not warrant the accuracy of that information, and you should not rely on it. 

Minor Nation does not warrant that the Website will be available at all times and without disruption and provides no warranties in relation to the content of any other website linked to or from the Website. 

Minor Nation is not liable for any Loss suffered or incurred by you relating to any dealing or transaction with Minor Nation (except as provided by these Terms). 

You release Minor Nation, and their respective directors, employees, contractors, and agents from any Claims you had, have, or may have with respect to any Loss that you suffer or incur in connection with your dealings with Minor Nation. If, but only if, Minor Nation cannot by statute limit such Loss in this way, Minor Nation’s liability for breach of any statutory condition or warranty will be limited to supplying the Products again, payment of the cost of having the Products supplied again, repairing the Products, or any other remedy prescribed by any relevant law. 

If neither of the preceding sub-clauses applies, Minor Nation’s total liability for any and all Losses in respect of all Claims in connection with an Agreement or your use of the Website, or these Terms, will be limited to the purchase price of the Products, and Minor Nation will not be liable for incidental, consequential, exemplary, or punitive damages resulting from any such cause (including, without limitation, loss of profit, loss of revenue, or loss of opportunity). 

If you use up or transform the Products in the course of trade, then Minor Nation will not be liable to you or anyone else for any Loss suffered or incurred by you or them arising under or in connection with the sale, use of, storage, or any other dealings with the goods or Products by you or any third party. 

Minor Nation is not liable to you for any Loss suffered or incurred by you in any way arising under or in connection with the sale, use of, storage, or any other dealings with the Products by you or any third party. 

Minor Nation shall not be liable for any Loss suffered or incurred by you arising in connection with the operation (including delays and errors), breakdowns, disruption to or malfunction of any system, device, or service. 

You are liable for all Loss you suffer or incur, arising out of the use, possession of, or dealings with any Products sold to you by Minor Nation (including changes in your financial situation). 

Minor Nation will not be liable for any Loss suffered by you or any third party for failure to meet any estimated date. 

Where any part of these Terms (including but not limited to the preceding sub-clauses of this clause) are Non-Excludable Terms, then any such provision of these Terms: 

Shall, having regard to the application of those provisions, to the extent it is possible to do so, be read down and applied as relevantly modified so that those provisions do not contain any relevant Non-Excludable Terms with respect to any such application of those provisions. 

Shall continue to apply and have operative effect to the extent it is possible to do so, by some other application of those provisions, and they will then continue to remain enforceable. 

To the extent it is possible to do so, those provisions, if replaceable, shall be replaced by such provision that in its commercial and legal context is most similar to the provision held void, unenforceable, or illegal, and Minor Nation may, by relying upon its rights to modify or vary this Agreement, so vary those terms or provisions to give the necessary binding effect (including to the extent it is possible to do so, with retrospective operation).

1. Indemnity

You indemnify Minor Nation and its respective officers, agents, consultants, and employees from any Loss suffered or incurred by Minor Nation as a result of any Claim made by you or any third party due to or arising out of your breach of your obligations pursuant to these Terms or your breach of any law that relates to your transactions or dealings with Minor Nation. 

This indemnity: 

Takes effect as and from the date Minor Nation notifies you of its making a Claim against you under this indemnity (the Indemnity Claim Notice); and 

Applies and may be enforced by Minor Nation in relation to any Loss that arose prior to or after the date of the Indemnity Claim Notice, or any relevant Claim made against Minor Nation prior to or after the date of the Indemnity Claim Notice.  

1. Privacy

To the extent Minor Nation is required by law to do so, it may collect Your Information and verify your identity before Minor Nation can transact with you. 

By using the Website or opening an Account with Minor Nation, you agree to be bound by the following terms: 

• Minor Nation will collect Your Information only by lawful and fair means. 
• Minor Nation may also need to collect Your Information from third parties, including credit reporting agencies, law enforcement agencies, and other government entities, as well as identity verification providers. 
• Minor Nation collects, holds, uses, and discloses Your Information for purposes including, but not limited to: 
• Allowing you to open an Account. 
• Enabling Minor Nation to fulfill its obligations to you and to ensure that you fulfill your obligations to Minor Nation. 
• Communicating with you, including sending you information about Products and services. 
• Maintaining a credit information file on you and carrying out a credit assessment on you. 
• Establishing your bona fides. 
• Investigating suspected unlawful, fraudulent, or other improper activity connected with the use of our Products and services. 
• Complying with legal and statutory obligations, including obligations relating to identity verification and reporting under the Anti-Money Laundering and Counter Terrorism Act 2006 (Cth), as well as licensing obligations under other applicable laws. 
• By opening an Account and providing Your Information, you consent to Your Information being used by Minor Nation. 

Minor Nation may disclose Your Information to third parties as follows: 

• To a credit reporting agency. 
• To Minor Nation’s contractors and external service providers associated with the operation of our business. 
• To law enforcement agencies to assist in the prevention of criminal activities. 
• To government and regulatory authorities and other organisations as required or authorised by law or otherwise permitted under the Privacy Act 1988 Cth. 
• Minor Nation may disclose Your Information to a credit reporting agency for the purpose of obtaining an assessment of whether that personal information so disclosed matches (in whole or in part) the personal information held by the credit reporting agency. This process assists Minor Nation in verifying your identity as required by the Anti-Money Laundering and Counter Terrorism Act 2006. 

The credit reporting agency may prepare and provide Minor Nation with such an assessment and may use Your Information contained in any credit information file relating to you and other individuals for the purposes of preparing that assessment. 

Minor Nation will take reasonable steps to protect Your Information it collects and ensure that it is accurate, complete, and up-to-date. 

1.  Variation

Minor Nation reserves the right to vary these Terms, and any variation of these Terms shall apply to all dealings between you and Minor Nation from the day on which the variation takes effect. Your continued use of the Website will be deemed to constitute acceptance of the variation to these Terms. 

1.  Notice

Any notice, request, demand, or other communication may be sent to your postal or electronic address last notified to Minor Nation. The notice, request, demand, or other communication shall be considered received by you if sent by prepaid letter on the Business Day following posting, and if sent by facsimile or other electronic means, when sent. 

 20. Assignment

You may not assign, transfer, or sublicense any or all of your rights or obligations under these Terms without our express prior written consent.

21. Definitions and Interpretations

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms. 

1. Miscellaneous

These Terms are governed by the laws of NSW, Australia, and the Courts of NSW, Australia, have jurisdiction in relation to any disputes to which these Terms apply. 

If more than one person constitutes the Account Holder, they are jointly and severally bound by these Terms, and Minor Nation is entitled to act upon the instructions of any one of those persons unless specified otherwise on the Account application form. 

The failure of Minor Nation at any time to insist upon strict performance of the provisions of these Terms will not be deemed a waiver of its rights at any time thereafter to insist on strict performance. 

No provision of these Terms that grants rights to Minor Nation merges by virtue of any supply of Products being made, or any amount due being paid by you, or any Agreement being completed, terminated, or otherwise. 

If the performance of Minor Nation's obligations under these Terms is prevented, restricted, or affected by force majeure, including strike, lockout, raw material shortage, breakdown of plant, transport, or equipment, or any other cause beyond the reasonable control of Minor Nation, then Minor Nation will give notice of such cause to you. After 7 days from the receipt by you of such notice, Minor Nation may terminate or rescind in its discretion any relevant Agreement with you, without being obligated to you in any way for any Loss that may have been otherwise suffered or incurred by you. 

If the whole or any part of a provision of any Agreement or these Terms is or becomes void, unenforceable, or illegal, the remainder of any Agreement or these Terms shall have full force and effect. The provision held void, unenforceable, or illegal, if replaceable, shall be replaced by such provision that in its commercial and legal context is most similar to the provision held void, unenforceable, or illegal. 

These Terms replace any agreement, arrangement, or understanding that may have existed between you and Minor Nation, and the obligations entered into under those prior arrangements will be treated as if they were entered into pursuant to these Terms. 

You authorise Minor Nation to record any telephone conversation(s) between you and Minor Nation, with or without an audible tone warning device. 

You authorise Minor Nation to appropriate any credits, payments, and other receipts from you or from your Account in such manner and order as it thinks fit against any amounts due or owing by you to Minor Nation. 

Mobile Terms of Service

The Minor Nation mobile message service (the "Service") is operated by Minor Nation (“Minor Nation”, “we”, or “us”). Your use of the Service constitutes your agreement to these terms and conditions (“Mobile Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

By consenting to Minor Nation’s SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of Minor Nation through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Service-related messages may include updates, alerts, and information (e.g., order updates, account alerts, etc.). Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders).

You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with Minor Nation. Your participation in this program is completely voluntary.

We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.

You may opt-out of the Service at any time. Text the single keyword command STOP to MinorNation or click the unsubscribe link (where available) in any text message to cancel. You'll receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you. If you have subscribed to other Minor Nation mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms.

We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.

The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.
